1. Introduction
Welcome to SnappyRatings, a service operated by SnappyRatings LLC ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the SnappyRatings website, platform, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Description of Service
SnappyRatings provides a platform that enables businesses to order printed QR business cards, generate personalized QR codes, track scans via a dashboard, and (on monthly plans) send email and SMS invitations to customers. The QR code on each card links directly to the business's Google review page or other designated URL. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
4. Account Registration
When creating an account, you agree to:
- Provide accurate and complete information
- Maintain the security of your login credentials
- Accept responsibility for all activity under your account
You may not share your account credentials with others.
5. QR Codes, Scan Data & User Content
SnappyRatings generates QR codes that redirect scanners to a URL you designate (e.g. your Google review page). You acknowledge that:
- You are responsible for ensuring the destination URL is accurate, legal, and appropriate
- Scan data (IP address, timestamp, user agent) is collected for analytics and is not shared with third parties
- You may not point your QR code to illegal, fraudulent, or harmful content
- We reserve the right to deactivate QR codes that violate these Terms
You agree not to use the Service to distribute spam, engage in phishing, or redirect users to malicious destinations. Businesses are solely responsible for the destination URL and any content customers encounter after scanning.
6. Email & SMS Outreach
All plans include email and SMS review invitation tools. By using these features, you agree to:
- Only submit customer contact information (email addresses and phone numbers) for which you have obtained proper consent to receive marketing or solicitation communications
- Comply with all applicable laws governing commercial email and SMS messaging, including the CAN-SPAM Act, TCPA, and any applicable state or international regulations
- Not use the outreach tools to send spam, unsolicited bulk messages, or communications unrelated to Google review requests
- Accept that SnappyRatings may suspend outreach access if abuse is detected or reported
SnappyRatings is not liable for any violations of law arising from your misuse of the email or SMS outreach tools.
7. Payments & Billing
Certain features require payment. Payments are processed securely through Stripe, a third-party payment processor. We do not store full credit card information on our servers.
By subscribing to a paid plan, you agree:
- To authorize recurring billing (if applicable)
- That fees are non-refundable unless required by law
- That cancellation stops future billing but does not retroactively refund prior charges
We may change pricing with reasonable notice.
8. No Refund Policy
All payments to SnappyRatings are non-refundable. This includes monthly subscription fees, printed card orders, and any other charges. By completing a purchase, you acknowledge and agree that no refunds will be issued under any circumstances, including but not limited to:
- Unused portions of a billing period after cancellation
- Dissatisfaction with results, review volume, or customer response rates
- Printed card orders once production has begun
- Account suspension or termination due to violations of these Terms
You may cancel your subscription at any time to stop future charges. Cancellation takes effect at the end of the current billing period and does not entitle you to a refund of any amount already charged.
If you have a billing dispute you believe was made in error, contact us at support@snappyratings.net within 30 days of the charge.
9. Acceptable Use
You agree not to:
- Use the Service for illegal or fraudulent activity
- Attempt to hack, disrupt, or reverse engineer the platform
- Introduce malicious software
- Interfere with platform security
Violation may result in suspension or termination.
10. Termination
You may cancel your subscription at any time from your dashboard. Cancellation stops future billing and your account will remain active until the end of the current billing period, after which all account data will be permanently deleted.
SnappyRatings reserves the right to suspend or terminate any account immediately and without prior notice, at our sole discretion. Grounds for immediate termination include but are not limited to:
- Violation of these Terms or our Acceptable Use policy
- Fraudulent, abusive, or illegal activity
- Sending unsolicited or non-compliant messages through the platform
- Any activity that presents legal, security, or reputational risk to SnappyRatings
Immediate termination carries no refund of any kind. Any unused portion of a prepaid billing period, unused email or SMS quota, and any other credits or entitlements are forfeited upon termination, whether termination is initiated by you or by SnappyRatings. This applies regardless of the reason for termination.
Upon termination, your account and all associated data (including contacts, invitations, QR scan history, and settings) will be permanently deleted. SnappyRatings may retain minimal identifying information in an internal archive solely for legal and compliance purposes.
11. Intellectual Property
All software, branding, logos, design, and content (excluding user-submitted content) are owned by SnappyRatings and protected by intellectual property laws. You may not reproduce or distribute our intellectual property without written permission.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEES REGARDING SPECIFIC BUSINESS RESULTS, REVIEW VOLUME, OR CUSTOMER RESPONSE RATES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNAPPYRATINGS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SNAPPYRATINGS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless SnappyRatings and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including CAN-SPAM and TCPA; or (d) any content or contact data submitted through your account.
15. Force Majeure
SnappyRatings shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power outages, internet or telecommunications failures, or the unavailability of third-party services (including Stripe, Printful, or email/SMS delivery providers). In such events, SnappyRatings's obligations will be suspended for the duration of the force majeure event.
16. Dispute Resolution & Arbitration
Please read this section carefully — it affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Kent County, Michigan. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm while arbitration proceedings are pending.
If arbitration is found unenforceable for any reason, disputes shall be resolved exclusively in the state or federal courts located in Kent County, Michigan, and you consent to the personal jurisdiction of such courts.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. You agree that any legal action or proceeding not subject to arbitration under Section 16 shall be brought exclusively in the state or federal courts located in Kent County, Michigan.
18. Changes to Terms
We may update these Terms periodically. We will notify you of material changes by email or via a notice in your dashboard at least 7 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
